Please read these Terms of Use (“Terms”) carefully before using the website located at factorhub.io (the “Site”), operated by Factor Hub (“Factor Hub,” “Company,” “we,” “us,” or “our”), a subsidiary of Common Factor. The Site provides online information about the Company and our products, services, and opportunities.
BY ACCESSING OR USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS AND BY OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SITE.
These Terms contain a binding arbitration provision and a class-action waiver (Section 12) that affect your legal rights. Please review them carefully.
1. Acceptance and Eligibility
These Terms apply to all visitors, users, and others who access or use the Site. By using the Site, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and that you have the authority to enter into these Terms, including on behalf of any organization you represent.
2. The Site; Scope of These Terms
These Terms govern your use of the informational Site only. They do not govern any software product, application, or platform that we design, build, host, or operate for or with a client, which is instead governed by a separate written agreement and, where applicable, product-specific terms. Nothing on the Site constitutes a binding offer to provide services; any engagement is subject to a separate written agreement signed by the parties.
3. Inquiries and Requests
If you wish to learn about or request our products or services, you may contact us through the Site’s contact form, by email at contactus@factorhub.io, or through any other channel we make available. Submitting an inquiry does not create a contract or any obligation on our part to provide services. Any estimate, proposal, or roadmap we provide is non-binding unless and until set out in a signed written agreement.
4. Intellectual Property; Content and Trademarks
All text, graphics, images, user interfaces, designs, photographs, trademarks, logos, software, and computer code, and all other materials on the Site (collectively, the “Content”), are owned, controlled, or licensed by Factor Hub and are protected by intellectual-property and other laws, including copyright, trademark, and trade-dress laws. Factor Hub retains all rights, title, and interest in and to the Content not expressly granted to you.
The Factor Hub and Common Factor names, logos, and marks are trademarks of their respective owners. The appearance, layout, color scheme, and design of the Site are protected trade dress. You receive no right or license to use any of the foregoing except as expressly permitted in Section 5.
5. Limited License and Permitted Use
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and view the Content solely for your own non-commercial, personal, or internal business purposes, and solely to learn about our products and services. You must not remove any proprietary notices, copy or post Content on any networked computer or broadcast it in any media, modify the Content, or make any representations or warranties relating to the Site or the Content. Except as expressly permitted, no part of the Site or Content may be copied, reproduced, modified, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, mirrored, framed, or otherwise exploited without our prior written consent.
6. Prohibited Conduct
By accessing the Site, you agree that you will not:
- Use the Site in violation of these Terms or any applicable law or regulation;
- Copy, modify, create derivative works from, reverse engineer, decompile, or attempt to discover any source code of the Site, or permit any third party to do so;

- Use the Site in any way that damages, disables, overburdens, or impairs it, or interferes with any other party’s use of the Site;
- Mirror or frame the Site or any part of it on any other website or web page;
- Attempt to gain unauthorized access to the Site, or probe, scan, or test the vulnerability of the Site or any connected network, or breach any security or authentication measures;
- Impose an unreasonable or disproportionately large load on the Site’s infrastructure; or
- Use any device, software, or routine to interfere with the proper working of the Site, or introduce any virus, malware, or other harmful code.
7. Feedback and Submissions
If you send us comments, suggestions, ideas, or other feedback about the Site or our products and services (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, and incorporate the Feedback for any purpose, without any obligation, attribution, or compensation to you. Please do not send us confidential information or any submission you expect us to keep private or pay for.
8. Third-Party Links and Services
The Site may contain links to third-party websites or services that we do not own or control. Such links are provided solely for your convenience and do not constitute an endorsement. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You access them at your own risk and should review their terms and policies.
9. Privacy

10. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACTOR HUB DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
FACTOR HUB MAKES NO REPRESENTATION OR WARRANTY THAT THE SITE OR CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. THE CONTENT MAY INCLUDE INACCURACIES OR ERRORS. YOUR USE OF THE SITE AND CONTENT IS AT YOUR SOLE RISK.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FACTOR HUB, ITS PARENT, AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR ANY CONTENT, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF FACTOR HUB AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITE OR ANY CONTENT IS TO STOP USING THE SITE.
This limitation applies to any damages, liability, or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication-line failure, theft or destruction of, or unauthorized access to, alteration of, or use of any record. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you, and nothing in these Terms limits liability that cannot be limited under applicable law.
12. Dispute Resolution; Binding Arbitration; Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
Informal resolution first. Before initiating any formal proceeding, you agree to contact us at contactus@factorhub.io and attempt to resolve the dispute informally for at least thirty (30) days.
Binding arbitration. Except for the exceptions below, any dispute, claim, or controversy arising out of or relating to these Terms or the Site that is not resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its then-current rules, before a single arbitrator, in Fort Bend County, Texas, or by videoconference. Judgment on the award may be entered in any court of competent jurisdiction. The arbitrator, and not any court, shall have exclusive authority to resolve disputes about the interpretation, applicability, or enforceability of this provision.
Class-action waiver. To the maximum extent permitted by law, you and Factor Hub agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of representative or class proceeding.
Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual-property or proprietary rights.
Opt-out. You may opt out of this arbitration provision by sending written notice to contactus@factorhub.io within thirty (30) days of first accepting these Terms, stating your name and intent to opt out. If you opt out, the governing-law and venue provisions in Section 13 will apply to any dispute.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Subject to Section 12, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Fort Bend County, Texas for any dispute not subject to arbitration. You are responsible for complying with the laws of the jurisdiction from which you access the Site and agree not to use the Site in violation of those laws.
14. Termination
We may suspend or terminate your access to the Site at any time, without notice or liability, for any reason, including if you breach these Terms. All provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, limitations of liability, indemnification, and dispute-resolution provisions.
15. Indemnification
You agree to indemnify, defend, and hold harmless Factor Hub, its parent and affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use or misuse of the Site or Content, your violation of these Terms, or your violation of any law or the rights of any third party.
16. Changes to the Site and These Terms
We may modify, suspend, or discontinue the Site or any part of it at any time without notice. We may also modify or replace these Terms at any time in our sole discretion. When we do, we will revise the “Last updated” date above. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Site.
17. Force Majeure
Factor Hub will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, governmental actions, power or internet failures, or failures of third-party service or infrastructure providers.
18. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Factor Hub regarding the Site and supersede any prior agreements on that subject. Our failure to enforce any provision is not a waiver of that provision. If any provision is found to be invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect. You may not assign or transfer these Terms without our prior written consent; we may assign them freely. Section headings are for convenience only and have no legal effect.
